Registration of variable capital companies (VCC) is now possible

The Registration Agency has implemented the necessary changes three months ahead of the amendments to Ordinance No. 1 of 14 February 2007 on the maintenance, storage, and access to the Commercial Register and the Register of Non-Profit Legal Entities (RNLPE). By successfully upgrading the Information System of the Commercial Register, the agency has made the registration of VCCs practically possible.

As of 15 December 2024, applications for the registration of circumstances related to a variable capital company can be submitted using Form A19. Applications may be filed either on paper or electronically.

The VCC was introduced as a new type of company through amendments to the Commercial Act back in 2023. However, interested parties were unable to utilize this form due to the lack of technical capacity for its registration. The deadline for implementing the new legal framework was extended several times, with the final date set for 31 March 2025. Despite this, the Registration Agency has expedited the process, making it possible to register this new business form in advance. This form is expected to be particularly suitable for the so-called "start-up" companies.
